Article 1 (Purpose and Status)
These Terms set out the detailed conditions governing the use of "Airy API" (the "Service"), provided by Out of Set Inc. (the "Company") through Airy.
These Terms are Service-Specific Terms under the Airy Terms of Service (the "General Terms") and apply together with the General Terms. Where these Terms and the General Terms conflict, these Terms shall prevail with respect to matters concerning the Service.
Article 2 (Definitions)
Input: Text, reference audio, or other material a User transmits to the Service via the API.
Output: Synthesized audio or other results generated by the Service.
API Key: Authentication credentials issued by the Company to a User to access the Service.
Preset Voice: A pre-produced synthesized voice made available by the Company through the Service.
Credits: The unit of usage deducted upon use of the Service, consisting of:
- Promotional Credits: Credits granted upon registration or otherwise separately granted by the Company.
- Included Credits: Credits granted to subscribers of a paid plan at each billing cycle.
- Additional Credits: Credits separately purchased by a User.
Merchant of Record: Paddle.com Market Ltd. and its affiliates (collectively, "Paddle"), which act as the merchant of record on the Company's behalf with respect to Service fees, handling payment processing, tax matters, and invoicing.
Other terms used herein shall have the meanings set out in the General Terms.
Article 3 (Description of the Service)
- The Company provides voice generation via API, a developer console, and usage/credit history features.
- Beta features and models may change in accuracy or availability without prior notice, and the composition of available models may be changed or discontinued at the Company's discretion.
- Output may differ from expectations in pronunciation or intonation; Users should review Output themselves before using it for important purposes.
- Where the Company offers a custom voice (voice cloning) feature, Users must disclose that Output is AI-generated where there is a risk that it could be mistaken for the statement of an actual person.
Article 4 (Eligibility and API Key Management)
- The Service is available to anyone seeking to use the API, including businesses and developers. However, individual Users must be at least 18 years of age. This is a Service-specific exception to the age requirement (14 years of age) set out in Article 4 of the General Terms, and these Terms shall prevail.
- The Company may verify a User's age through identity verification, adult verification, or similar procedures where necessary, and may restrict use where a User is found not to meet the age requirement.
- Users must manage their issued API Keys with the care of a good administrator and may not transfer, lend, or expose them to third parties. Any action taken using an API Key is deemed the act of the User.
- A User is responsible for damages arising from the leakage of an API Key unless the Company is notified without delay. The Company may temporarily restrict use of an API Key without prior notice where abnormal usage patterns are detected.
Article 5 (Plans, Credits, and Payment)
- The Company may grant Promotional Credits upon registration or otherwise. Included Credits are granted to paid-plan subscribers at each billing cycle; Included Credits are not granted to free-plan Users. Additional Credits may be separately purchased on certain paid plans. Specific fees, plan-specific Included Credits, and usage limits are set out on the Company's website, and the Company may change these, providing advance notice of any change.
- Promotional Credits, Included Credits, and Additional Credits each have their own validity period; unused amounts are forfeited upon expiration.
- Paid plans automatically renew and are charged monthly unless cancelled, and payment is processed through Paddle. Paddle, as the Merchant of Record for Service fees, handles payment processing and invoicing; the User's payment method information is held and processed by Paddle, not the Company.
- If a User cancels a subscription, the User may continue to use the Service for the remainder of the period already paid for, and charges cease from the next billing date. Upon cancellation, unused Included Credits for that billing cycle are forfeited at the end of the cycle, while Additional Credits remain available for their respective validity periods.
- Matters concerning refunds are governed by the separately posted Airy API Refund Policy.
Article 6 (Ownership of Content)
- Ownership of Output generated or received by a User through the Service, and of any new content the User creates using such Output (collectively, "User Content"), belongs to the User. The User may use User Content commercially to the extent permitted by applicable law and these Terms.
- The Company may process a User's Input and Output to the extent necessary for generating and delivering Output, operating the Service, maintaining security, responding to errors or outages, and improving Service quality. The Company will not disclose Input or Output to third parties without separate consent.
- Where a User separately consents, the Company may use Input and User Content to improve the Service and to train AI models. Details regarding such consent and its withdrawal are set out in the Privacy Policy.
- The Company does not warrant the originality of Output or that it does not infringe third-party rights; Users are responsible for securing any necessary third-party rights, such as those relating to scripts or trademarks.
- Copyright in Preset Voices and other content the Company makes available through the Service belongs to the Company. Users may use such content only to the extent permitted by Service policy, and may not resell or redistribute Preset Voices themselves, or extract any separate voice model or embedding from them.
Article 7 (Service-Specific Prohibited Conduct)
In addition to the prohibited conduct set out in Article 6 of the General Terms, Users may not:
- Share or resell API Keys, or create multiple accounts to circumvent plan-specific usage limits;
- Collect Service responses in bulk, without the Company's prior written authorization, to train or develop a separate speech synthesis model;
- Resell or redistribute Preset Voices outside the Service as an independent product or service, or extract any separate voice model or embedding from them;
- Where a custom voice feature is offered, clone, generate, or use a voice that is neither the User's own nor one for which the User has obtained the explicit consent of the rights holder, or generate a voice for the purpose of impersonating or creating confusion with an actual person.
Violations are subject to the measures set out in Articles 6 and 7 of the General Terms.
Article 8 (Limitation of Liability)
- The Company shall not be liable for damages arising from causes set out in Article 8, Paragraph 1 of the General Terms (force majeure, telecommunications network failure, hacking, government action, or other causes beyond the Company's reasonable control).
- Where the Company is liable for damages arising from a cause other than those set out in Paragraph 1, the Company shall not be liable for the following types of damages:
- Notwithstanding Paragraphs 1 and 2, the Company's liability shall not be limited with respect to damages arising from the Company's willful misconduct or gross negligence, infringement of personal information, or death or bodily injury.
- For paid-plan Users, the Company's total liability for damages not falling under Paragraph 3 shall be limited to the greater of the following amounts:
- For free-plan Users, notwithstanding Paragraphs 3 and 4, the Company shall not be liable for damages unless such damages arise from the Company's willful misconduct or gross negligence.
- Where a User causes damage to a third party through use of the Service, or where the Company becomes liable to a third party as a result of a User's unlawful use of the Service or breach of these Terms, the Company may seek indemnification from the User.
Article 9 (Miscellaneous)
- Matters not addressed in these Terms are governed by the General Terms and the Privacy Policy.
- The amendment procedure for these Terms follows Article 3 of the General Terms.
Addendum
These Terms take effect on September 17, 2026.
